YuiTalk Terms of Service
Effective: 26 July 2026
These Terms are an agreement between you and Shanghai Minute Technology Co., Ltd. (上海米努特科技有限公司) covering your use of the YuiTalk app and related services.
Please read these Terms in full before using YuiTalk, especially the bold clauses covering AI-generated content, subscriptions and our limits of liability. Creating an account or using the app means you accept them. If you do not, please stop using the service.
If you are under 18, please read these Terms with a parent or guardian and use YuiTalk only with their permission.
1. What YuiTalk is
- 1.1YuiTalk is a speaking-first Japanese learning app. It offers shadowing practice, scenario conversations, AI feedback on pronunciation and phrasing, mistake review, a vocabulary book and JLPT vocabulary drills.
- 1.2The features available to you are whatever the version you are running actually provides. We may add, change or retire features as the product develops.
- 1.3Where a change materially affects something you have paid for, we will tell you in the app beforehand.
- 1.4YuiTalk is licensed for your personal, non-commercial use.
2. Your account
- 2.1Full functionality requires an account. You can register with an email address or use Sign in with Apple.
- 2.2Give us accurate details and keep them current.
- 2.3Keep your password to yourself and take responsibility for what happens under your account. Tell us immediately if you think someone else has access.
- 2.4Your account is for you. Do not sell, lend, rent or share it.
- 2.5You can delete your account whenever you like. Deleting it erases or anonymises your learning history irreversibly, and ends any remaining subscription entitlement.
3. Subscriptions, renewals and refunds
Some features require a subscription. Subscriptions are sold through the Apple App Store. We never charge you directly and never see your payment details.
- 3.1Plans — monthly and annual. The price is whatever your regional App Store page shows at the time of purchase.
- 3.2Free trial — we offer one; its length is shown on the purchase page. If you do not cancel before the trial ends, it converts to a paid subscription and billing starts.
- 3.3Automatic renewal — Apple charges you within 24 hours before the end of each billing period, and keeps doing so until you cancel.
- 3.4Cancelling — go to Settings → your Apple Account → Subscriptions → YuiTalk → Cancel Subscription. You keep access until the period you have already paid for runs out.
- 3.5Deleting the app does not cancel the subscription. You have to cancel in Settings, otherwise renewals continue.
- 3.6Refunds — refunds are decided by Apple under the App Store refund policy. We cannot issue refunds ourselves, but write to us and we will help you put your case to Apple.
- 3.7Cancelling during the free trial costs you nothing.
4. AI-generated content
The corrections, diagnostics, example sentences and exercises in YuiTalk are generated by AI models and can be wrong. Verify anything that matters before you rely on it.
- 4.1AI models can produce inaccurate grammar judgements, unnatural phrasing, or advice that does not match how the language is actually used. We work to improve this, but we make no warranty, express or implied, as to the accuracy, completeness or fitness for purpose of AI-generated content.
- 4.2It is study material, not certification, not a promise about exam results, and not professional advice. Decisions you make on the basis of it, and their consequences, are yours.
- 4.3YuiTalk is not affiliated with, endorsed by, or authorised by the organisers of the Japanese-Language Proficiency Test (JLPT). JLPT levels are used only to describe the difficulty range of vocabulary and grammar. We make no promise about your test results.
5. Acceptable use
While using YuiTalk, you agree not to:
- 5.1Use the service for anything unlawful where you are, or where we are.
- 5.2Enter or attempt to generate content that is unlawful, violent, sexually explicit, hateful, defamatory, or that infringes anyone's rights.
- 5.3Reverse engineer, decompile or disassemble the app, or circumvent the subscription and billing mechanisms.
- 5.4Hammer the service with scripts or automated clients, or otherwise interfere with its operation.
- 5.5Copy, redistribute, rent, sell or commercially exploit the lessons, question bank or audio without our written permission.
- 5.6If you break these rules we may warn you, limit features, suspend or terminate your account, and where you have caused loss, seek to recover it.
6. Intellectual property
- 6.1The YuiTalk name, logo, interface, lessons, question bank, synthesised audio and the software itself belong to Shanghai Minute Technology Co., Ltd. (上海米努特科技有限公司) or its licensors.
- 6.2While you comply with these Terms we grant you a revocable, non-exclusive, non-transferable licence for personal, non-commercial use.
- 6.3Rights not expressly granted are reserved.
- 6.4The learning records you generate are yours. We process them only as far as running and improving the service requires — see the Privacy Policy.
7. Availability and termination
- 7.1We will make reasonable efforts to keep the service running, but we do not promise uninterrupted availability. Maintenance, upgrades, network faults, third-party outages and events beyond our control can all interrupt it.
- 7.2If we decide to shut YuiTalk down we will give at least 30 days' notice in the app and on the website, and make a fair arrangement for subscription time you have paid for but not used.
- 7.3You may stop using the service and delete your account at any time, which ends this agreement.
8. Disclaimers and liability
- 8.1To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of data, loss of goodwill, or loss of anticipated savings arising from your use of, or inability to use, the service.
- 8.2Our total liability to you in connection with the service will not exceed the amount you actually paid us for it in the twelve months before the claim arose.
- 8.3Nothing here excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, or for fraud. If you are a consumer, your statutory rights are unaffected.
9. Changes to these Terms
- 9.1We may revise these Terms, updating the date at the top when we do.
- 9.2We will flag changes that materially affect your rights prominently in the app. Continuing to use the service after they take effect means you accept them.
- 9.3If you do not accept a revision, stop using the service and you may delete your account.
10. Governing law and disputes
- 10.1These Terms are governed by the laws of the People's Republic of China (mainland), without regard to conflict-of-law rules.
- 10.2If something goes wrong, please contact us first — most things are settled that way.
- 10.3Failing that, disputes will be submitted to the competent court where Shanghai Minute Technology Co., Ltd. (上海米努特科技有限公司) is domiciled.
- 10.4If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence, including your right to bring proceedings in your local courts.
- 10.5If any clause is held unenforceable, the rest stands.
